Acceptance of Terms
By engaging Sales Automation Ltd for any services, you agree to be bound by these terms and conditions. If you do not agree, please do not use our services.
Description of Services
Sales Automation Ltd provides AI-based sales and marketing automation consulting, implementation, and ongoing advisory services. Scope, deliverables, and fees for each engagement are defined in a separate written proposal or statement of work.
Client Responsibilities
The client will provide timely access to the systems, data, personnel, and information reasonably required to deliver the agreed services, and will nominate a decision-making point of contact for the duration of the engagement.
Payment Terms
Fees, milestones, and invoicing schedule are set out in the applicable statement of work. Unless agreed otherwise, invoices are payable within 30 days of the invoice date. Sales Automation Ltd reserves the right to pause work on materially overdue accounts.
Intellectual Property
Pre-existing intellectual property remains the property of its original owner. Bespoke deliverables developed specifically for the client under an engagement transfer to the client on full payment. Sales Automation Ltd retains rights to underlying tools, frameworks, and methodologies used to deliver the services.
Confidentiality
Each party will keep the other's confidential information confidential and will not disclose it to any third party except as required to perform the services or by law. Mutual non-disclosure agreements can be signed on request.
Data Protection
Sales Automation Ltd processes personal data in accordance with the UK GDPR and the Data Protection Act 2018. Where we act as a data processor on your behalf, a written data processing agreement will govern that processing. Full details are set out in our Privacy Policy.
Limitation of Liability
To the maximum extent permitted by law, Sales Automation Ltd's total liability under any engagement is limited to the fees paid by the client under that engagement in the 12 months preceding the event giving rise to the claim. Neither party is liable for indirect or consequential loss. Nothing in these terms limits liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be limited by law.
Termination
Either party may terminate an engagement on 30 days' written notice, or immediately on material breach that is not remedied within 14 days of written notice. Fees for work completed up to termination remain payable.
Governing Law
These terms and conditions are governed by and construed in accordance with the laws of England and Wales.
Dispute Resolution
The parties will attempt to resolve any dispute in good faith through discussion between senior representatives before commencing formal proceedings. The courts of England and Wales have exclusive jurisdiction over any dispute not resolved by agreement.
Changes to Terms
Sales Automation Ltd may update these terms from time to time. The current version will always be available on this page. Material changes will be communicated to active clients.
